Terms of Service
Last Updated: October 11, 2026Key Terms Summary (Plain-Language Overview)
This summary is provided for convenience only and is not legally binding. The full terms below govern your use of the Platform.
- Who can use Lantanios: You must be at least 16 years old and agree to these Terms.
- What you get: A website builder with e-commerce, AI assistant, custom domains, analytics, and affiliate tools.
- Plans and pricing: Pay as you sell (5% platform fee), Entry Commerce Site at $49/mo (2% fee), Operator Commerce Site at $99/mo (0% fee), and Advanced AI Commerce at $249/mo (0% fee). Annual billing is also available for paid plans. Cancel anytime; you keep access through the end of your billing period. No partial-period refunds.
- Prices can change at any time: A change applies to new purchases at once. An active subscription moves to a higher price only at a renewal, and we email you at least 7 days before that renewal. A billing period you already paid for never changes price. Per-sale fee changes apply to checkouts created after the change.
- Your content is yours: You own what you create. You give us a license to host and display it. We own the Platform itself.
- AI is built in: Your prompts are sent to OpenRouter, which routes them to the model you chose; the companies that run the models may be anywhere in the world. AI output may be inaccurate and is not professional advice. You are responsible for the actions the AI assistant takes at your instruction. There is no opt-out of AI data processing if you use AI features.
- AI can generate images, sound and video, not only text. Generated media is yours to use, subject to the operating model's own restrictions.
- AI credits: AI usage is paid from a prepaid credit balance. One credit is $0.001, so $1 buys 1,000 credits. Credits currently have no expiry date. They are non-refundable, except that unused credits can be refunded within 14 days of purchase, and they are forfeited if obtained through abuse or a charged-back payment.
- Payments between Builders and Visitors: These are direct transactions processed through Stripe. Lantanios is not a party to those transactions.
- Disputes: Governed by Pennsylvania law. Most disputes go to binding arbitration. You waive class actions and jury trials, and claims must be brought within one year.
- We can suspend or terminate accounts for the causes in Section 20, including violations of these Terms, fraud, chargebacks, and abuse of the free plan. Commissions and credits obtained through fraud or abuse are forfeited. You can stop using the Platform and ask us to delete your account at any time.
- Health data: The Platform is not designed for health data. Do not use it to process protected health information.

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Lantanios Solutions Inc., a Pennsylvania C-Corporation ("Lantanios," "we," "us," or "our"). These Terms govern your access to and use of the Lantanios platform (the "Platform"), including the website at lantanios.com, all associated services, applications, and any websites hosted on or through the Platform.
By creating an account, accessing the Platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
You are asked to accept these Terms during account registration. Your continued use of the Platform after accepting these Terms constitutes ongoing agreement.
2. Account Registration and Eligibility
2.1 Age Requirement
You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to create an account or use the Platform. By creating an account, you represent that you meet this age requirement. If we learn that a user is under 16, we will terminate their account and delete their personal information.
2.2 Account Creation
You may create an account using Google OAuth or a local email and password. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Keep your login credentials confidential and not share them with any third party
- Accept responsibility for all activity that occurs under your account
- Notify us immediately at [email protected] if you suspect unauthorized access to your account
2.3 One Account Per Person
Each individual may maintain only one Platform-level account. Creating multiple accounts to circumvent restrictions, abuse promotions, or evade enforcement actions is prohibited and grounds for termination of all associated accounts. We may treat accounts that share a payment method, device, identity, or other signals of common control as one person for the purposes of these Terms.
2.4 Account Security
You are solely responsible for maintaining the security of your account credentials. Lantanios is not liable for any loss or damage arising from your failure to protect your login information. We strongly recommend using a strong, unique password and enabling any additional security measures we may offer.
2.5 Sanctions and Export Control
You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive United States sanctions, and that you are not identified on, or owned or controlled by a person identified on, any United States government list of prohibited or restricted parties. You may not use the Platform to sell to, buy from, pay, or otherwise deal with any such person or place, or to export anything in violation of export-control laws. We may block, suspend, or terminate any account, site, transaction, or payout where we believe that is needed to comply with these laws, and we are not liable for any loss that results.
3. Platform Description and Services
Lantanios is an integrated platform that provides the following services:
- Website Builder: A block-based editor for creating React server-side rendered (SSR) websites with responsive design, theme system, drag-and-drop page and menu management, and component library.
- E-Commerce Engine: Product catalog management with plan-governed variants and SKUs, shopping cart, checkout, order management, and payment processing through Stripe and Stripe Connect.
- AI Assistant: A multi-agent AI system that helps users build and manage their sites, powered by multiple third-party large language model (LLM) providers.
- Custom Domains: Domain search, registration, DNS management, and SSL certificate provisioning for sites built on the Platform.
- Analytics: Traffic and engagement analytics for Builder sites, including page views, visitor counts, referral sources, and interaction events.
- Affiliate and Referral Program: A two-tier affiliate system allowing users to earn commissions by referring new Builders to the Platform or promoting Builder stores to end users.
- Social and Profile Features: User profiles and apps built directly with the website builder.
The specific features available to you depend on your subscription plan (see Section 5). We may modify, add, suspend, or discontinue any feature, plan, or part of the Platform at any time. We try to announce material changes in advance but are not required to, except as Section 5.1 provides for existing subscribers or applicable law requires. Features we label as beta, preview, or experimental are provided as-is, may change or be withdrawn without notice, and may be less reliable than the rest of the Platform.
4. User Types
The Platform serves three distinct user types, each with different rights and responsibilities:
4.1 Builders
Builders are users who create and manage websites using the Platform. Builders may:
- Create, edit, publish, and manage one or more websites
- Set up e-commerce stores and sell products or services to Visitors
- Configure custom domains for their sites
- Access analytics for their sites
- Use the AI assistant to build and manage their sites
- Participate in the affiliate program (subject to approval)
- Set their own refund and return policies for their stores
Builders are responsible for the content they publish, the products and services they sell, and compliance with applicable laws governing their business activities.
4.2 Visitors
Visitors are end users who browse, interact with, or make purchases on websites built by Builders on the Platform. Visitors may:
- Browse Builder sites
- Create accounts on Builder sites (Tenant accounts)
- Make purchases through Builder e-commerce stores
- Interact with site features as configured by the Builder
Visitors' interactions with Builder sites are governed by both these Terms and any additional terms the Builder may establish for their site.
4.3 Affiliates
Affiliates are users who participate in the Lantanios referral and affiliate program. Affiliates may operate at two levels:
- Platform Affiliates: Builders who refer other Builders to the Platform and earn commissions on the referred Builders' platform spending.
- Store Affiliates: End users who promote specific Builder stores and earn commissions on sales they generate.
Participation requires application approval or acceptance of a valid invitation. Additional terms governing the affiliate program are set forth in Section 10.
5. Subscription Plans, Billing, and Fees
5.1 Subscription Tiers
Lantanios offers four subscription tiers:
| Plan | Pay as you sell | Entry Commerce Site | Operator Commerce Site | Advanced AI Commerce |
|---|---|---|---|---|
| Monthly Price | $0 | $49 | $99 | $249 |
| Annual Price | $0 | $490 | $990 | $2,490 |
| Platform Transaction Fee | 5% | 2% | 0% | 0% |
All prices are in United States Dollars (USD). Current features and limits for each plan are displayed on the pricing and subscription-management pages and become part of your order at checkout.
Price and plan changes. We may change subscription prices, plan features, plan limits, and platform transaction fees at any time. A new price applies immediately to new purchases, and a platform transaction fee change applies as Section 5.2 describes. A price change never alters a billing period you have already paid for: an active subscription keeps the price you paid until the end of its current billing period.
Notice to existing subscribers. Before an active subscription renews at a higher price, we will email the address on your account at least 7 days before the first renewal charged at that price, stating the new price and the date it applies. A material reduction in the features or limits of your paid plan takes effect for your subscription no earlier than your next renewal and with the same email notice, except where the change is needed for security, legal compliance, or abuse prevention, or because a third-party provider changed or withdrew a service. If you do not accept a change, cancel before that renewal date (Section 7.1). If you keep your subscription active, you authorize us to charge each renewal at the price then in effect. Price decreases may apply at any time.
5.2 Platform Transaction Fees
In addition to Stripe processing and applicable Stripe product fees (which are charged by Stripe, not Lantanios), Lantanios charges a platform transaction fee on e-commerce sales processed through Builder stores. The fee percentage is determined by the Builder's subscription tier as shown above. For Stripe Connect direct charges, Stripe creates the charge in the Builder's connected account, charges its fees to that account, and transfers the applicable Lantanios platform fee to Lantanios. The Builder's net is the gross amount less applicable Stripe fees, the Lantanios platform fee, refunds, disputes, and other Stripe adjustments.
The platform-fee tier, percentage, configuration version, and effective time are recorded when a checkout is created. That recorded fee policy remains the governing policy for that transaction through finalization and reconciliation, even if the Builder later changes plans or Lantanios changes the fee schedule. Any changed fee schedule applies only to future checkouts unless applicable law or an express written agreement requires otherwise.
A change to a platform transaction fee, whether an increase or a decrease, applies to every site for every checkout created after the change takes effect. There is no grace period for existing sites.
5.3 Billing Cycle
Paid subscriptions are billed on a monthly or annual recurring basis, as selected at checkout. Your billing cycle begins on the date you subscribe to a paid plan and renews on the corresponding date of each subsequent billing interval. Plan changes follow these rules:
- Upgrades: Stripe calculates the provider-calculated prorated amount for the remainder of the current billing period. The upgrade is effective only after successful payment and provider reconciliation.
- Downgrades and billing-interval changes take effect at renewal. Your current plan and features remain in place until then, and no immediate proration or refund is created.
5.4 Payment Method
You must provide a valid payment method (credit card, debit card, or other Stripe-supported method) to subscribe to a paid plan. By providing a payment method, you authorize Lantanios to charge it for all fees incurred under your subscription, including each renewal at the price then in effect, and for any other amount you owe us under Section 5.8. You are responsible for keeping your payment information current. If a charge fails, we may retry the charge, charge any other payment method on file, and suspend paid features, sites, or your account until payment is resolved.
5.5 Taxes
All fees are exclusive of applicable taxes. You are responsible for paying any sales tax, value-added tax (VAT), goods and services tax (GST), or other taxes imposed by your jurisdiction on your subscription or purchases. Stripe Automatic Tax calculates tax from the billing information and tax rules available at the time of billing. We collect and remit tax where our legal obligations require it; a $0 tax result does not mean tax is never applicable.
5.6 Pay as you sell
Pay as you sell provides access to the Platform with limited features, no monthly subscription charge, and a 5% platform transaction fee. No credit card is required for Pay as you sell. A Builder may have up to 1 active Pay as you sell site.
- 10,000 successful public hosted-page deliveries per month.
- 250 accepted unique form responses per month, with the latest 3,000 responses per site retained for up to 12 months, whichever bound is reached first.
- 10 GiB of stored files and 25 GiB of new digital delivery accepted into completed orders per UTC month. New Digital sales pause when the next fixed bundle cannot fit, until the monthly reset or an upgrade. Existing purchasers retain access; refunds do not restore this allowance.
Fair-use rules apply to every plan. Automated public file hosting, sharing purchaser bearer links, abusive repeated retrieval, malware or other prohibited content, attempts to circumvent limits, and disproportionate resource use may trigger review or narrowly scoped throttling of the affected purchase or file.
5.7 Fair Use of Pay as you sell
Pay as you sell is provided so that you can build and run a genuine website or store that you actively operate. It is offered at our discretion and is not a commitment to provide free service for any period. The following are not permitted on Pay as you sell:
- Sites used mainly to host, store, or distribute files, or as a content-delivery or backup service
- Parked, placeholder, or doorway sites; redirect or link-shortening services; link farms; and sites that exist mainly to manipulate search rankings or send traffic elsewhere
- Sites or accounts created in bulk or by automated means, and any arrangement that multiplies Pay as you sell allowances across accounts or people acting together
- Copies or mirrors of other websites, load or performance testing, and reselling or sublicensing Platform capacity
A Pay as you sell site with no Builder sign-in and no completed order for 12 consecutive months may be unpublished and its content deleted. We may change the limits or features of Pay as you sell, or withdraw it, at any time. Nothing in Section 5.6 limits our rights under this Section 5.7, the Acceptable Use Policy in Section 12, or Section 20: a site or account that breaches this fair-use policy may be throttled, unpublished, suspended, or terminated.
5.8 Amounts You Owe, Set-Off, and Chargebacks
You must pay, when due, every fee and every other amount you owe Lantanios, including amounts reversed or charged back after we paid or credited them to you, dispute and chargeback fees we incur because of your account, Affiliate debt under Section 10, and our reasonable costs of collection, including attorneys' fees where the law allows. We may charge any of these amounts to any payment method on file, and we may set them off against any amount we owe you, including Affiliate commissions, refunds, and refundable AI credits.
If you believe a charge from Lantanios is wrong, contact [email protected] before disputing it with your bank or card issuer; most billing problems are resolved faster that way. If you dispute or charge back a payment to Lantanios, we may suspend the affected services and your account while the dispute is open. Services, credits, domain registrations, and other value bought with a payment that is reversed or charged back may be suspended, revoked, or recovered. If the dispute is decided in our favor, you must pay the disputed amount and the associated fees.
5.9 Pricing Errors and Promotions
If a price, fee, credit amount, or discount is displayed or charged in error, we may correct it, cancel or refuse the affected order, and refund what you paid for it, even after the order was accepted. Promotional offers, discount codes, trial periods, welcome credits, and similar benefits are limited to one per person unless stated otherwise, have no cash value, cannot be transferred, and may be changed or withdrawn at any time. We may revoke, and recover the value of, any benefit obtained through multiple accounts, automation, misrepresentation, or other abuse.
6. Payment Processing
6.1 Stripe as Payment Processor
All payment processing on the Platform is handled by Stripe, Inc. ("Stripe"). By using the Platform's payment features, you agree to be bound by Stripe's terms of service, including the Stripe Services Agreement and the Stripe Connected Account Agreement, as applicable.
6.2 Stripe Connect Marketplace
Lantanios uses Stripe Connect to facilitate payments between Builders (merchants) and Visitors (customers). Under this arrangement:
- Builders must complete Stripe Connect onboarding (including identity verification and banking information) to receive payments for products and services sold through their stores.
- Visitors make payments directly to Builders through Stripe. Lantanios facilitates the transaction but is not a party to the sale.
- Stripe creates direct storefront charges in the Builder's connected Stripe account, charges its own processing and applicable product fees to that account, and transfers the applicable Lantanios platform fee to Lantanios.
6.3 Builder-Visitor Transactions
Lantanios is a platform that connects Builders with Visitors. Lantanios is not a party to any transaction between a Builder and a Visitor. The contractual relationship for any purchase made on a Builder's site is solely between the Builder and the Visitor. Lantanios does not:
- Guarantee the quality, safety, legality, or availability of any product or service sold by Builders
- Guarantee that Builders will fulfill their orders or obligations
- Act as an escrow, guarantor, or insurer of any Builder-Visitor transaction
- Assume any liability for disputes between Builders and Visitors
6.4 Builder Obligations as Merchants
Builders who sell products or services through the Platform are responsible for:
- Compliance with all applicable consumer protection, e-commerce, and tax laws in their jurisdiction and their customers' jurisdictions
- Accurately describing their products and services
- Fulfilling orders in a timely manner
- Establishing and honoring their own refund, return, and cancellation policies
- Collecting and remitting applicable sales taxes
- Responding to customer inquiries and disputes
6.5 Chargebacks and Disputes
If a Visitor initiates a chargeback or payment dispute with their card issuer for a Builder-Visitor transaction, the Builder is responsible for the disputed amount, any associated fees charged by Stripe, and any amount Lantanios incurs because of the dispute, which we may recover under Section 5.8. The platform transaction fee on a disputed charge is not refunded. Lantanios may assist in providing transaction records but is not responsible for the outcome of any dispute. We may suspend commerce features for a site whose dispute, refund, or fraud rates put the Platform's payment processing at risk.
7. Refund and Cancellation Policy
7.1 Subscription Cancellations
You may cancel your paid subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period and does not automatically create a refund. Upon cancellation:
- You will retain access to your paid plan features through the end of your current billing period.
- Your plan will revert to Pay as you sell at the end of the billing period.
- No partial-period refunds will be issued for unused time remaining in your billing period.
- Content and features that exceed Pay as you sell limits may become restricted (for example, you may not be able to add new products while you exceed the Pay as you sell product limit).
- If your stored files exceed your new plan's storage limit, reduce your usage or upgrade. We may delete the excess files.
7.2 Subscription Refunds
Lantanios does not provide refunds for subscription fees, except:
- Where required by applicable law (e.g., EU consumer cooling-off rights for first-time subscriptions, subject to applicable conditions)
- At our sole discretion in cases of documented billing errors or service outages attributable to Lantanios
No refund is due for any period in which your account, a site, or a feature was suspended or terminated for cause under Section 20.2.
If you believe you are entitled to a refund, contact [email protected] with details of your request.
7.3 E-Commerce Transaction Refunds
Refunds for products and services purchased on Builder sites are governed by the individual Builder's refund policy. Lantanios is not responsible for issuing refunds on behalf of Builders and does not mediate refund disputes between Builders and Visitors. Builders are encouraged to publish a clear refund policy on their sites.
If a Builder issues a refund through Stripe, the platform transaction fee associated with the original transaction will not be refunded to the Builder unless Lantanios determines, at its sole discretion, that the circumstances warrant it.
7.4 Domain Registration Refunds
Domain registrations are generally non-refundable once the registration has been submitted to the registrar. Some domain registrations may be eligible for cancellation within a grace period as determined by the registrar and ICANN policies. See Section 11 for additional domain terms.
7.5 AI Credit Refunds
AI features are paid from a prepaid credit balance rather than from your subscription. Credits are purchased in advance, denominated so that one credit equals $0.001 USD, and consumed as you use AI features. The exchange rate between dollars and credits is fixed and is shown to you at the point of purchase.
Credits currently have no expiry date.
Credits are otherwise non-refundable, with one exception. Within 14 days of a credit purchase, you may request a refund of credits from that purchase which you have not yet spent. The refundable amount is the lesser of (a) your current available credit balance and (b) the credits purchased in the preceding 14 days that have not already been refunded. Refunds are issued to the original payment method at the same fixed rate at which the credits were purchased.
The following are never refundable:
- Credits you have already spent on AI usage
- Credits currently held in reserve against AI work in progress
- Credits granted to you rather than purchased by you, including welcome credits and any credits granted by a site owner
- Credits from a purchase made more than 14 days before the request, except under the termination and discontinuation rule below
- Credits from a payment that was disputed, reversed, or charged back
Credits have no cash value outside the refund rights in this Section 7.5. Credits bought with a payment that is disputed, reversed, or charged back, and credits obtained through fraud, multiple accounts, or other abuse, are forfeited without refund. If we terminate your account for fraud, illegal activity, a chargeback, or abuse of credits, your remaining credit balance is forfeited. If we terminate your account for any other cause, or we discontinue the Platform, you may request within 30 days a refund of your unused purchased credits at the rate at which you bought them, less any amount you owe us; granted credits are never refunded. The number of credits an AI request consumes depends on the model and the request and may change at any time; the dollar-to-credit rate of a purchase is fixed when you buy.
To request a refund of unused credits, use Account → AI Credits within the 14-day window. If the automatic workflow is unavailable or asks for review, contact [email protected].
7.6 Site-Sponsored AI Credits
A Builder may choose to grant AI credits to Visitors of their site, funded from the Builder's own credit balance up to a limit the Builder sets. Those credits are a grant from the Builder, not a purchase by the Visitor. Visitors pay nothing for them, hold no refund right in them, and receive no cash value for them under any circumstances. A Builder who funds such grants remains responsible for the credits drawn from their balance.
8. User Content and Intellectual Property
8.1 Your Content
"User Content" means any text, images, media, product listings, website designs, code, data, or other materials that you create, upload, publish, or transmit through the Platform.
You retain all ownership rights in your User Content. Lantanios does not claim ownership of any User Content you create or upload to the Platform.
8.2 License to Lantanios
By creating or uploading User Content to the Platform, you grant Lantanios a worldwide, non-exclusive, royalty-free, sublicensable (solely to our service providers for the purpose of operating the Platform), and transferable license to host, store, cache, reproduce, display, distribute, and transmit your User Content solely for the purposes of:
- Operating, maintaining, and improving the Platform
- Displaying your published sites to Visitors
- Providing services you have requested (including AI assistant processing, analytics, and e-commerce functionality)
- Creating backups and ensuring data integrity
This license continues for as long as your User Content is stored on the Platform, including in backups. Deletion of User Content and account data is described in our Privacy Policy. We may keep User Content and account records longer where we need them to comply with law, resolve a dispute, investigate or prevent fraud or abuse, or enforce these Terms.
8.3 Your Responsibilities for User Content
You represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to use and authorize Lantanios to use your User Content as described in these Terms
- Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other legal rights
- Your User Content complies with all applicable laws and regulations
- Your User Content does not violate the Acceptable Use Policy in Section 12
8.4 Lantanios Intellectual Property
The Platform, including its software, design, architecture, documentation, trademarks, logos, and all related intellectual property, is owned by Lantanios Solutions Inc. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in the Platform's intellectual property except for the limited right to use the Platform as described in these Terms. You may not:
- Copy, modify, adapt, or create derivative works based on the Platform's code, design, or architecture
- Reverse engineer, decompile, or disassemble any part of the Platform
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the Lantanios name, logo, or branding in any way that suggests endorsement or affiliation without our written consent
8.5 Feedback
If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant Lantanios an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate that Feedback into the Platform without any obligation or compensation to you.
8.6 Our Right to Remove Content
We have no obligation to monitor User Content, but we may review it. We may refuse, remove, unpublish, or disable access to any User Content, product, or site at any time if we believe it violates these Terms or the law, or exposes Lantanios, other users, Visitors, or our service providers to harm or liability. You are responsible for keeping your own copies of your User Content.
9. AI Services Terms
9.1 AI Service Description
The Lantanios AI assistant is a multi-agent system that uses third-party large language model (LLM) providers to process your requests. The AI assistant can help you build and manage your site, generate content, analyze data, and perform platform actions on your behalf.
9.2 Third-Party AI Providers
Your prompts and related context are sent to OpenRouter, Inc., which routes each request to the model you or your site selected. Every AI model request goes through OpenRouter. OpenRouter in turn transmits your request to the operator of the model chosen for it, so the model determines who ultimately processes your data. The table below lists the operator behind each model we currently offer.
| Model | Operated by |
|---|---|
| GPT-6 Sol | OpenAI |
| GPT-5.4 Mini | OpenAI |
| Solar Mini 4 | Upstage |
| Grok 4.3 | xAI |
| GPT-4.1 Mini | OpenAI |
| DeepSeek V4.1 Flash | open-weight, hosted by DeepInfra |
| DeepSeek V4.1 Flash (Novita) | open-weight, hosted by Novita AI |
| GPT-6 Luna | OpenAI |
| Claude Haiku 5.5 | Anthropic |
| Gemini 3.8 Flash | |
| Llama 4 Maverick | open-weight, hosted by Parasail |
| GLM 5.2 | hosted by Decart or Novita AI |
| GPT-OSS 120B | open-weight, hosted by Cerebras or DeepInfra |
| GPT-OSS 20B | open-weight, hosted by DeepInfra |
| Gemini 3.1 Flash-Lite | |
| Seedream 4.5 | ByteDance |
| Nano Banana 2 Lite | |
| GPT-5 Image Mini | OpenAI |
| Lyria 3 Clip | |
| Lyria 3 Pro | |
| Veo 3.1 Lite | |
| Wan 3.0 | Alibaba |
| Kling v3.0 Standard | Kuaishou |
"Open weights" is not the same as private. An open-weight model is one whose model is published. Your prompts still travel to whoever hosts the running copy.
Every company that can receive your AI request. Through OpenRouter: Cerebras, DeepInfra, Decart, Novita AI, Google, OpenAI, ByteDance, Alibaba, and Kuaishou. Directly from us: OpenRouter and Perplexity AI. Perplexity AI answers a web search when an AI Agent uses the search tool. Not yet used for customer requests: Upstage, xAI, Anthropic, and TypeSafe.
We may add or change models and providers at any time. This list shows the models offered when it was last updated.
9.3 What Data Is Sent to AI Providers
When you use the AI assistant, the following data may be sent to third-party providers:
- The text of your messages and prompts
- Platform context necessary to fulfill your request (e.g., site structure, page names, component types)
- Session context from prior messages in the same conversation
We do not add payment card numbers, passwords or domain registrant contact details to an AI request ourselves. Anything you, your site's visitors or an AI Agent types or attaches is sent as written, so do not put sensitive information in a prompt.
9.4 How AI Providers Handle Your Data
Each company that receives an AI request handles it under its own terms and privacy policy. We do not control those terms, and we make no promise about how any provider stores, uses, shares or deletes what it receives, including whether it uses it to improve its models.
Providers may be located anywhere in the world and may be subject to the laws of countries other than yours. If any of this matters for your content, do not use AI features for that content.
9.5 No Opt-Out of AI Data Processing
AI functionality is a core component of the Platform. If you choose to use the AI assistant, your prompts will be processed by third-party AI providers as described above. There is no option to use the AI assistant without third-party processing. If you do not wish your data to be processed by AI providers, do not use the AI assistant features.
9.6 No Guarantee of Accuracy
AI-generated content is provided on an "as-is" basis. Lantanios does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output. This applies to generated images, sound and video as much as to text: a generated image may misrepresent its subject, and generated speech may mispronounce or misstate. AI-generated content:
- May contain errors, inaccuracies, or fabricated information
- Does not constitute professional, legal, medical, financial, or tax advice
- Should be reviewed and verified by you before use or publication
- May vary in quality depending on the prompt, context, and provider used
You are solely responsible for reviewing, verifying, and accepting or rejecting any content generated by the AI assistant before using it on your site or in your business.
9.7 Prohibited AI Uses
You may not use the AI assistant to:
- Generate content that violates the Acceptable Use Policy (Section 12)
- Attempt to extract, reverse engineer, or probe the AI system's internal instructions, prompts, or configuration
- Automate requests to the AI assistant in a way that circumvents rate limits or consumes disproportionate resources
- Input sensitive personal information such as health data, government identification numbers, or financial account credentials
9.8 AI Usage and Credits
AI usage is paid from a prepaid credit balance, not from a per-tier token allowance. Credits are purchased in advance and consumed as you use AI features. Your available balance is shown in your account. When your balance is exhausted, AI features become unavailable until you add credits; we do not extend credit or bill you for overages beyond the balance you have purchased.
Before an AI request runs, a reserve is placed against your balance covering the most that request can cost. The reserve is released and the actual cost charged when the request completes. Individual AI models carry a maximum cost per request, and a request that would exceed it is refused rather than run. We may apply rate limits and usage limits to protect the Platform. Credit purchases, expiry, forfeiture and refundability are governed by Section 7.5; credits granted by a site owner are governed by Section 7.6.
9.9 Generated Images, Sound and Video
Ownership and restrictions. As between you and Lantanios, generated media is yours on the same terms as other AI output under Section 8. That does not override the operating model's own restrictions: each model is run by a third party whose terms may limit commercial use, require attribution, or prohibit particular subject matter. Section 9.2 identifies the operator for each model.
No exclusivity and no originality guarantee. Generative models can produce similar output for similar prompts, for you and for anyone else. We do not warrant that generated media is unique or free of third-party rights. You are responsible for clearing anything you publish.
Likeness, voice and identifiable people. Do not use media generation to depict a real person, imitate an identifiable voice, or produce material that could be mistaken for a real recording of real events. This is part of the Acceptable Use Policy in Section 12 and is enforced under it.
Video cannot be cancelled once started. A video generation is submitted to the provider as a single irrevocable job and is charged whether or not you are still watching.
9.10 Retention of Generated Media
Generated media is stored in your site's file library like any other file, subject to the plan storage rules in Sections 5 and 7.
9.11 Actions the AI Assistant Takes for You
The AI assistant can take actions in your account at your instruction, such as creating or editing pages, products and prices, publishing sites, changing settings, and sending messages. Every such action is taken on your behalf and under your authority, and you are responsible for it as if you had taken it yourself. Review what the assistant proposes before you confirm it. If you choose an autonomy setting that lets the assistant act without asking for each confirmation, you accept the risk of the actions it takes within that setting. Lantanios is not liable for loss caused by an action the AI assistant took at your instruction or within the autonomy you selected, subject to Section 17.
10. Affiliate Program Terms
Platform Affiliate Terms revision: affiliate-terms-2026-10-08
10.1 Program Overview
The affiliate program has two separate domains. Lantanios records and pays qualifying commissions to Platform Affiliates who refer Builders to Lantanios. For Store Affiliates, Lantanios tracks and reports a specific Builder store's commission records; the Builder pays the Store Affiliate outside Lantanios, and Lantanios does not verify that external payment.
10.2 Eligibility and Enrollment
Enrollment is available only when the applicable program is enabled and requires application approval or acceptance of a valid invitation. Lantanios decides Platform Affiliate applications; the relevant Builder decides applications for that exact store. Applications may be approved or rejected without a stated reason.
A Platform Affiliate is not active until the Affiliate accepts the current Terms and has a dedicated Stripe Express Affiliate recipient account confirmed ready to receive Transfers. Before activation, no usable referral code, attribution, commission, earnings display, or payment obligation exists. A Store Affiliate does not onboard a Lantanios payout account. Loss of Platform recipient readiness suspends new attribution and earning and pauses Transfer execution without erasing durable financial records.
10.3 Commission Structure
- A qualifying completed checkout or paid subscription-cycle invoice may create one commission within the referred customer’s accepted earning period. That period starts at qualifying signup, defaults to 12 calendar months, and may be configured by the program or an affiliate override. Later duration changes apply to new referrals.
- Affiliate commissions accrue only on qualifying USD transactions. Attributed transactions in other currencies are recorded as excluded, earn no commission, and do not delay or invalidate checkout.
- Rates and immutable terms applicable to an order are recorded with its commission. Later policy changes apply only to future attribution and earning and do not rewrite existing financial records.
- Builder balance deposits and other stored value, gift cards, taxes, previously purchased credits, refunded value, and disputed value are non-commissionable. This Affiliate rule creates no refund right for any product, price, deposit, or stored value.
- Commission rates may range from 0% through 50%. The current applicable rate and status are displayed in the Affiliate dashboard.
10.4 Attribution and Tracking
Affiliate referrals are tracked using cookie-based last-touch attribution. This means:
- When a referred user clicks your affiliate link, a tracking cookie is set in their browser
- Signup must qualify before the referral cookie expires (30 days by default). Cookie expiry after qualifying signup does not end the accepted earning period. A transaction at or after the earning end is excluded.
- If the user clicks a different affiliate link before qualifying signup, attribution transfers to the most recent affiliate (last-touch model)
- Attribution is not guaranteed: a browser setting, a blocked or cleared cookie, or a different device can prevent it
10.5 Payouts
- Platform Affiliates: A commission is pending, estimated, unvested, non-withdrawable, and non-payable through its applicable refund window and reconciliation buffer. Under the defaults, eligibility begins 37 days after qualifying transaction completion: a 30-day refund window plus a 7-day reconciliation buffer. Payment exceptions, recipient unreadiness, debt, and disabled Transfer execution may delay it further.
- The default minimum Transfer is $20.00 USD. An Affiliate may request a payout below that minimum, but a request bypasses only the minimum and never the maturity, dispute, debt, reconciliation, recipient-readiness, or Transfer-execution controls.
- The Platform Transfer path is Lantanios balance → Stripe Express balance. A public SENT status means the reconciled Transfer reached the Express balance. Stripe manages any later payout to the Affiliate's bank; Lantanios does not control or verify that bank hop, and SENT does not mean bank settlement.
- Store Affiliates: Records mature after the applicable refund window and may be included in a finalized owed report. The Builder may attest that a report was settled externally. That attestation is the Builder's record, not Stripe or Lantanios verification.
- Affiliate balances earned in compliance with these Terms never expire or forfeit; Section 10.8 governs commissions tied to prohibited activity. Account closure preserves pending value through normal maturity and requires any positive matured Platform balance to be processed without the minimum threshold, subject to the same controls. If Transfer is impossible, the ledger and obligation remain preserved.
10.6 Refunds, Disputes, and Recovery
Cancellation without returned money does not reduce a commission. An actual refund, dispute, chargeback, reversal, or correction may cancel or reduce pending exposure. After a Platform Transfer is SENT, Lantanios may attempt an exact Stripe Transfer reversal; an amount that cannot conclusively be reversed may become visible Affiliate debt and offset future matured earnings. Original earnings and finalized Store reports remain recorded, with later changes shown as adjustments rather than silent rewrites.
10.7 Tax Responsibility
Each Affiliate remains responsible for understanding and meeting their own tax obligations. The launch product does not promise that Lantanios or a Builder will issue Form 1099, Form W-9, or any other tax form, and the dashboard is not a tax filing. We may withhold Transfers until you provide tax or identity information that we reasonably request or that law requires.
10.8 Prohibited Affiliate Activities
The following activities are strictly prohibited and may result in immediate termination from the affiliate program and/or termination of your Lantanios account:
- Self-referrals: Earning commissions on your own purchases or subscriptions, directly or indirectly, including through another account, a household member, or a person or business you control or act together with
- Click fraud: Artificially generating clicks, impressions, or conversions through automated means, bots, or deceptive practices
- Cookie stuffing: Placing affiliate cookies without genuine user interaction or awareness
- Misleading promotion: Misrepresenting the Platform, its features, pricing, or your relationship with Lantanios
- Spam: Distributing affiliate links through unsolicited emails, messages, or other spam
- Trademark abuse: Bidding on Lantanios trademarks in paid search advertising or using Lantanios branding in a misleading way
- Incentivized clicks: Offering rewards, payments, or other incentives solely for clicking affiliate links (as distinguished from genuine product recommendations)
Consequences. A commission attributable to prohibited activity is void and never becomes payable, whatever its displayed status. While we investigate suspected prohibited activity, we may suspend attribution and withhold pending and matured commissions. If we determine that a commission already transferred to you resulted from prohibited activity, the amount becomes Affiliate debt that we may reverse, set off, or recover under Sections 10.6 and 5.8. The protections in these Terms stating that Affiliate balances never expire or forfeit apply only to commissions earned in compliance with these Terms.
10.9 Program Modifications and Termination
Lantanios may modify Platform Affiliate terms, rates, or payout controls with notice required by these Terms or applicable law. A Builder may modify its Store Affiliate program. Changes govern future attribution and earning only; they do not rewrite existing attribution, commissions, corrections, reports, debt, or Transfers. Upon termination:
- Referral links are deactivated and no new attribution or earning begins.
- Existing pending records remain subject to their original maturity and correction terms.
- Every positive matured Platform balance remains eligible for closure processing without a minimum threshold, subject to the controls in Section 10.5.
11. Custom Domain Terms
11.1 Domain Registration
Lantanios offers domain registration through third-party registrar partners, currently Dynadot, inside the Lantanios-branded domain flow. Dynadot and any future applicable registrar may send required ICANN or registrar email notices directly to the registrant contact address. When you register a domain through the Platform:
- You are the registrant (owner) of the domain. Lantanios registers the domain on your behalf but does not claim ownership.
- You must provide accurate registrant contact information (name, email, phone, address) as required by ICANN regulations.
- You must monitor the registrant email address for registrar email notices, including Dynadot WHOIS/contact verification requests, and complete required verification before any registrar or ICANN deadline.
- Domain registration fees are charged at the time of purchase and cover the registration period selected (typically one year). Renewal fees may differ from initial registration fees.
- Domain registrations are subject to the terms, policies, and dispute resolution procedures of the applicable registrar and ICANN, including the Uniform Domain-Name Dispute-Resolution Policy (UDRP).
11.2 ICANN Compliance
As a domain registrant, you agree to comply with ICANN's Registrant Rights and Responsibilities, including:
- Providing and maintaining accurate WHOIS contact information
- Responding to registrar inquiries regarding your registration data within 15 days
- Acknowledging that failure to maintain accurate contact information may result in domain cancellation
11.3 Domain Registrant Responsibilities
You are solely responsible for:
- Keeping your domain registration current and renewing it before expiration
- Maintaining accurate contact information with the registrar
- Ensuring your domain is used in compliance with all applicable laws
- Configuring and maintaining DNS records appropriately
- Any disputes regarding domain ownership or use
11.4 SSL and DNS
SSL certificates and DNS management for custom domains are provided through Cloudflare. DNS configuration may require you to update records at your domain registrar to point to the Platform.
11.5 Domain-Related Disclaimers
Lantanios does not guarantee:
- The availability of any specific domain name
- Uninterrupted DNS resolution or SSL certificate availability
- That domain registration will not be challenged by third parties
- Specific DNS propagation times (which are controlled by the global DNS infrastructure and may take up to 48 hours)
11.6 Unpaid, Disputed, or Abusive Registrations
If a payment for a domain registration or renewal is declined, reversed, or charged back, or a domain is used for phishing, malware, fraud, spam, or other abuse, we may stop providing DNS and hosting for that domain and may ask the registrar to suspend, lock, or cancel the registration where the registrar's and ICANN's policies permit. Domain fees paid to the registrar are not refunded in these cases.
12. Acceptable Use Policy
This Acceptable Use Policy applies to all content published on the Platform, all activities conducted through the Platform, and all use of Platform services. Violation of this policy may result in content removal, account suspension, or account termination.
12.1 Prohibited Content
You may not publish, upload, or transmit content that:
- Is unlawful: Violates any applicable local, state, national, or international law or regulation
- Infringes intellectual property: Violates the copyright, trademark, patent, trade secret, or other intellectual property rights of any third party
- Is defamatory or harassing: Contains defamation, libel, threats, harassment, intimidation, or incitement to violence against any individual or group
- Contains hate speech: Promotes hatred, discrimination, or violence based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age
- Is sexually exploitative: Contains child sexual abuse material (CSAM), non-consensual intimate images, or content that sexually exploits minors in any way
- Promotes self-harm: Encourages or instructs on suicide, self-injury, or eating disorders
- Is deceptive: Contains phishing schemes, scams, fraud, impersonation, or deliberately misleading information designed to cause harm
- Contains malware: Includes viruses, trojans, worms, ransomware, spyware, or any other malicious code
- Violates privacy: Contains the personal information of others published without their consent (doxxing)
- Is regulated without authorization: Offers for sale controlled substances, prescription medications, weapons, or other regulated goods without required licenses and compliance
12.2 Prohibited Activities
You may not engage in the following activities on or through the Platform:
- Unauthorized access: Attempting to gain unauthorized access to any part of the Platform, other user accounts, or systems connected to the Platform
- Disruption: Interfering with or disrupting the Platform's infrastructure, servers, or networks, including through denial-of-service attacks, excessive automated requests, or exploitation of vulnerabilities
- Scraping and crawling: Using automated means to access, scrape, or collect data from the Platform or from Builder sites without authorization, except as permitted by the site's robots.txt file
- Circumvention: Attempting to bypass security measures, rate limits, access controls, or usage restrictions
- Resale without authorization: Reselling, sublicensing, or redistributing Platform services without our written consent
- Multi-level marketing schemes: Using the Platform to operate pyramid schemes, multi-level marketing programs, or other deceptive business models (the Lantanios affiliate program is distinct from these prohibited schemes)
- Cryptocurrency mining: Using Platform resources for cryptocurrency mining or similar computationally intensive activities unrelated to Platform services
- Account manipulation: Creating fake accounts, engaging in fake reviews, or manipulating Platform features through deceptive means
12.3 Builder Responsibilities
Builders are responsible for moderating content on their own sites, including content submitted by their Visitors (e.g., reviews, comments, user-generated content). Builders must make reasonable efforts to remove prohibited content from their sites when they become aware of it.
12.4 Commercial Email and Buyer Communications
The Platform may offer features that send commercial email to a Builder's own customers on the Builder's behalf, such as abandoned-cart recovery reminders. When a Builder enables any such feature:
- The Builder is the sender. The Builder initiates each category of commercial message by enabling the feature, and the message promotes the Builder's store. The Builder is responsible for compliance with all laws applicable to commercial email in the jurisdictions where their customers are located, including the U.S. CAN-SPAM Act, Canada's CASL, and the EU ePrivacy rules, to the extent they apply to the Builder's customers.
- Recipients are the Builder's own customers only. Commercial messages are sent only to signed-in account holders of the Builder's site who took an action on that site which produced the message. Builders may not import, purchase, or otherwise supply recipient lists, and may not use Platform email features to contact anyone who is not their own customer.
- Accurate business address. The Builder must provide and keep current a valid physical postal address for their business, which is published in the footer of every commercial message sent on their behalf, as required by applicable law. Providing a false or undeliverable address is a violation of these Terms.
- Opt-outs are honored by the Platform and binding on the Builder. Every commercial message includes a one-click unsubscribe mechanism. The Platform records and honors opt-outs automatically. Builders must not attempt to circumvent, reset, or work around a recipient's opt-out, and must not contact opted-out recipients through Platform email features.
- Sending limits and suspension. The Platform enforces sending volume limits and may pause, throttle, or disable a Builder's commercial email at any time, including in response to bounce rates, spam complaints, or suspected abuse, to protect deliverability for all users.
- Indemnification applies. Claims arising from a Builder's commercial email — including claims that a message was unlawful, deceptive, or sent without required consent — fall within the Builder's indemnification obligations under Section 18.
Where the Platform later offers sending from a Builder's own custom domain, the Builder is the sender of record for all messages sent from that domain, and the obligations in this section apply equally to those messages.
12.5 Reporting Violations
If you become aware of content or activity that violates this Acceptable Use Policy, please report it to [email protected] with:
- A description of the violation
- The URL or location of the offending content
- Any supporting evidence
We may review reports and take the action we consider appropriate, which may include content removal, account warning, account suspension, or account termination. We are not obligated to act on a report, to respond to it, or to disclose our enforcement actions to the reporter.
13. DMCA / Copyright Policy
Lantanios respects the intellectual property rights of others and expects our users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and respond to valid notices of alleged copyright infringement.
13.1 DMCA Takedown Notices
If you believe that content hosted on the Platform infringes your copyright, you may submit a DMCA takedown notice to our designated agent. Your notice must include:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing and its location on the Platform (including the URL)
- Your contact information (name, address, telephone number, and email address)
- A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
13.2 Counter-Notification
If you believe your content was removed in error or is not infringing, you may submit a counter-notification that includes:
- Your physical or electronic signature
- Identification of the material that was removed and the location where it appeared before removal
- A statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification
- Your name, address, and telephone number
- A statement that you consent to the jurisdiction of the federal court in the district where your address is located (or the Eastern District of Pennsylvania if you are outside the United States), and that you will accept service of process from the person who provided the original takedown notice
Upon receiving a valid counter-notification, we will forward it to the original complainant. If the complainant does not file a court action within 10 business days, we may restore the removed content.
13.3 Repeat Infringer Policy
Lantanios maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat copyright infringers. We may also terminate accounts of users who are found to have repeatedly submitted false or fraudulent DMCA notices.
13.4 Designated Agent
DMCA notices and counter-notifications should be sent to:
Lantanios Solutions Inc.
Attn: DMCA Agent
4543 Old Oak Rd
Doylestown, PA 18902
United States
Email: [email protected]
Our designation of this agent was filed with the U.S. Copyright Office on September 11, 2026 (registration DMCA-1030324) and is awaiting the Office's confirmation. Until it appears in the Copyright Office directory, notices sent to the address above still reach us and are acted on under this policy.
13.5 Good Faith Requirement
Please note that under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material is infringing, or that material was removed by mistake, may be subject to liability for damages, including costs and attorneys' fees.
14. Privacy
Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you acknowledge that you have read and understand the Privacy Policy, including:
- The categories of personal information we collect
- How your data is shared with third-party services (including AI providers, payment processors, and domain registrars)
- Your rights regarding your personal information under applicable privacy laws (including GDPR, CCPA/CPRA, and UK GDPR)
- Our data retention practices
- Our data breach notification procedures
- How to exercise your privacy rights
For questions or concerns about our privacy practices, contact [email protected].
15. SMS and Phone Verification Terms
The Platform offers optional phone verification via SMS. By providing your phone number and consenting to receive SMS messages, you agree to the following terms:
15.1 Message Types
You will receive only one-time verification codes for account security purposes. Lantanios does not send marketing, promotional, or advertising messages via SMS.
15.2 Message Frequency
Message frequency varies based on your account activity, including login attempts, password resets, and phone number changes. You will only receive messages when you initiate an action that requires verification.
15.3 Opt-Out
You can opt out of SMS messages at any time by:
- Replying STOP to any SMS message from Lantanios
- Removing your phone number from your account settings
- Toggling off SMS notifications in your account settings
15.4 Costs
Standard message and data rates from your carrier may apply. Lantanios does not charge for SMS messages, but your mobile carrier may impose fees.
15.5 Carrier Liability
Lantanios is not responsible for delayed or undelivered messages due to carrier network issues, device limitations, or other factors outside our control. Neither Lantanios nor any participating carriers are liable for delayed or undelivered messages.
15.6 Not Required
Phone verification is not required for account creation or use of the Platform. You may skip phone verification during registration and add or remove a phone number at any time through your account settings.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL SERVICES, CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
LANTANIOS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, LANTANIOS DOES NOT WARRANT THAT:
- The Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components
- The results obtained from use of the Platform will be accurate, reliable, or meet your requirements
- Any defects in the Platform will be corrected
- The Platform will be compatible with all devices, browsers, or operating systems
- Any specific level of uptime, availability, or performance will be maintained
- AI-generated content will be accurate, complete, or suitable for any particular purpose
- E-commerce transactions between Builders and Visitors will be completed successfully
- Domain registrations will be processed, renewed, or maintained without interruption
- Third-party services integrated with the Platform (including Stripe, Cloudflare, and AI providers) will perform as expected
You acknowledge that the Platform is used at your sole risk. Any content downloaded from or otherwise obtained through the Platform is accessed at your own discretion and risk.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing exclusions apply only to the extent permitted by applicable law. If you are a consumer in the European Union, nothing in these Terms affects your statutory rights as a consumer.
17. Limitation of Liability
17.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LANTANIOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
- DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LANTANIOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LANTANIOS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
- THE SUBSCRIPTION FEES PAID BY YOU TO LANTANIOS FOR THE PLATFORM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, EXCLUDING PLATFORM TRANSACTION FEES, AI CREDIT PURCHASES, AND DOMAIN REGISTRATION FEES, OR
- ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD)
17.3 Basis of the Bargain
You acknowledge that the limitations of liability in this Section 17 reflect a reasonable allocation of risk between you and Lantanios, and that these limitations are an essential basis of the bargain between you and Lantanios. Lantanios would not provide the Platform to you without these limitations.
17.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, Lantanios's liability is limited to the maximum extent permitted by applicable law. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
17.5 Time Limit for Claims
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED. This period is paused while the informal resolution process in Section 19.2 is under way.
18. Indemnification
18.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Lantanios Solutions Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or related to:
- Your use of the Platform or any activity under your account
- Your User Content, including any claims that your content infringes or misappropriates a third party's intellectual property or other rights
- Your violation of these Terms, including the Acceptable Use Policy
- Your violation of any applicable law, regulation, or third-party right
- Your e-commerce activities as a Builder, including product liability claims, consumer protection claims, and tax-related claims
- Your participation in the affiliate program, including any promotional activities
- Any dispute between you (as a Builder) and your Visitors or customers
- AI-generated content you publish or use, and actions the AI assistant takes in your account at your instruction or within the autonomy you selected
- Domains registered or connected through your account, and email sent from or on behalf of your sites
18.2 Procedure
Lantanios will provide you with prompt written notice of any claim subject to indemnification (provided that failure to provide timely notice will not relieve your indemnification obligations except to the extent you are materially prejudiced). Lantanios reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.
18.3 Consumer Exceptions
If you are using the Platform as a consumer (and not for business purposes), this indemnification provision applies only to the extent permitted by applicable law in your jurisdiction.
19. Dispute Resolution
19.1 Governing Law and Venue
These Terms and any dispute arising out of or related to them or your use of the Platform shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States of America, without regard to its conflict of law principles. The Federal Arbitration Act governs the interpretation and enforcement of this Section 19. Any claim that is not arbitrated under this Section 19 shall be brought exclusively in the state courts located in Bucks County, Pennsylvania, or the United States District Court for the Eastern District of Pennsylvania, and you and Lantanios consent to the personal jurisdiction of those courts.
19.2 Notice of Dispute and Informal Resolution
Before starting any arbitration or court proceeding, the party with a claim must send the other an individual written Notice of Dispute. A Notice from you must be sent to [email protected] and must include your name, the email address of your account, a description of your individual claim and the facts it is based on, and the specific relief you seek, and it must be signed by you personally, even if you are represented by a lawyer. A Notice from us will be sent to the email address of your account. For 60 days after a complete Notice is received, the parties will try in good faith to resolve the dispute informally, and, if either party asks, will meet for an individual telephone or video conference in which you personally participate. Completing this process is a condition precedent to starting arbitration or a court proceeding, and an arbitration demand filed without it may be dismissed. Every statute of limitations and filing deadline, including the period in Section 17.5, is paused from receipt of a complete Notice until this process ends.
19.3 Binding Arbitration
If a dispute is not resolved through Section 19.2, any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or its Commercial Arbitration Rules if you are using the Platform for business purposes), as modified by this Section 19.
The arbitration shall be conducted by a single arbitrator and shall take place in Bucks County, Pennsylvania or, at your election, may be conducted by telephone, online, or based solely on written submissions. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Payment of AAA filing, administration, and arbitrator fees is governed by the AAA rules. Each party shall otherwise bear its own costs and attorneys' fees, unless the arbitrator determines that a claim or defense was frivolous or brought for an improper purpose, in which case the arbitrator may award reasonable fees and costs to the other party.
19.4 Mass Arbitration
If 25 or more demands for arbitration raising similar claims are filed against Lantanios by or with the assistance of the same or coordinated lawyers or organizations, the AAA's Mass Arbitration Supplementary Rules apply. Before the other demands are administered, counsel for the claimants and Lantanios each select 10 demands (20 in total) to proceed first as bellwether cases, and the other demands are held; no filing or administration fees are assessed for a demand while it is held, and the statute of limitations for each held demand is paused. After the bellwether cases are decided, the parties will mediate the remaining demands in good faith for up to 60 days. Any demand not resolved by then proceeds under the AAA's Mass Arbitration Supplementary Rules without further staging under this Section. A court, not an arbitrator, has authority to enforce this Section 19.4. If any part of this Section 19.4 is found unenforceable, that part is severed and the rest of this Section 19 remains in effect.
19.5 Small Claims Exception
Notwithstanding the arbitration provision above, either party may bring an individual action in small claims court in Bucks County, Pennsylvania (or in your county of residence if different and applicable), provided the action falls within that court's jurisdictional limits and remains an individual action.
19.6 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LANTANIOS AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, EXCEPT AS SECTION 19.4 PROVIDES FOR ADMINISTRATION, AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
If a court decides by a final judgment, after any appeals, that this class action waiver is unenforceable as to a particular claim or request for relief (such as a request for public injunctive relief), then that claim or request, and only that one, shall be severed and may proceed in the courts named in Section 19.1, where it will be stayed until the arbitration of all other claims is complete. Nothing in this paragraph permits class or representative arbitration.
19.7 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND LANTANIOS EACH WAIVE ANY RIGHT TO A JURY TRIAL.
19.8 Opt-Out of Arbitration
You have the right to opt out of the binding arbitration provision within 30 days of first accepting these Terms. To opt out, send a written notice to [email protected] with the subject line "Arbitration Opt-Out" that includes your name, account email address, and a clear statement that you wish to opt out of arbitration. If you opt out, all disputes will be resolved in the courts named in Section 19.1, and Sections 19.6 and 19.7 continue to apply.
19.9 Injunctive Relief
Nothing in this Section 19 prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent imminent, irreparable harm, including but not limited to intellectual property infringement or unauthorized data access.
19.10 Changes to This Section
If we change this Section 19 after you accept it, the change does not apply to any claim for which a Notice of Dispute was sent before the change takes effect. You may reject a future change to this Section 19 by emailing [email protected] within 30 days after the change takes effect, in which case the version of this Section 19 you last accepted continues to govern disputes between us.
20. Termination
20.1 Termination by You
You may stop using the Platform at any time, and you may ask us to delete your account as the Privacy Policy describes. An account that still owns sites cannot be deleted until those sites are deleted. Canceling a paid subscription is governed by Section 7.1, and deletion of your User Content by the Privacy Policy. You remain responsible for any outstanding fees or charges incurred before termination.
20.2 Suspension and Termination by Lantanios
Lantanios may suspend or terminate your account, any of your sites, or your access to any feature or payout, immediately and with or without notice, if we reasonably believe that:
- You violated these Terms, including the Acceptable Use Policy and the fair-use rules in Section 5.7
- You engaged in fraudulent, deceptive, illegal, or abusive activity, or activity that harms or threatens to harm other users, Visitors, Lantanios, or our service providers
- A payment to Lantanios was declined, reversed, or charged back, or you did not pay an amount you owe us when due
- You engaged in prohibited affiliate activity under Section 10.8
- You created or used multiple accounts to circumvent limits, promotions, or enforcement, or you provided false registration, identity, or business information
- Your account or site poses a security, legal, regulatory, reputational, or financial risk to Lantanios, including a risk that a payment processor, domain registrar, hosting provider, or AI provider will restrict its services to us
- A payment processor, registrar, or other service provider requires us to act, or has restricted or closed your account with it
- You are subject to the sanctions or export restrictions described in Section 2.5
- The account or site is inactive under Section 5.7
- Action is required by law, regulation, or court order
We may choose to suspend rather than terminate, and to act on a single site, feature, or payout rather than your whole account. Except where the law requires it, we are not required to give you a reason or an opportunity to cure before acting.
If we suspend or terminate for cause under this Section 20.2: no subscription fee is refunded; AI credits are handled under Section 7.5; Affiliate commissions obtained through the violation are forfeited under Section 10.8; and every amount you owe us becomes due immediately.
20.3 Effect of Termination
Upon termination (whether by you or by Lantanios):
- Your right to access and use the Platform immediately ceases (or at the end of your billing period, if applicable)
- Your data is retained and deleted as our Privacy Policy describes and as the law requires
- Export your User Content before termination. After termination we may delete it, and we are not required to provide a copy except where the law requires it.
- Affiliate balances earned in compliance with these Terms never expire or forfeit on account termination. Pending Platform commissions remain subject to their original maturity and correction terms, and every positive matured Platform balance remains eligible for closure processing without the minimum threshold, subject to Section 10, including Section 10.8. Store Affiliate records remain preserved for the relevant Builder's external settlement process.
- Domain registrations made through the Platform remain subject to the registrar's terms and Section 11. After termination you are responsible for managing, renewing, or transferring them with the registrar
20.4 Survival
The following sections survive termination of these Terms: Section 5.8 (Amounts You Owe, Set-Off, and Chargebacks), Section 8 (User Content and Intellectual Property), Section 10.6 and Section 10.8 (Affiliate recovery and consequences), Section 16 (Disclaimer of Warranties), Section 17 (Limitation of Liability), Section 18 (Indemnification), Section 19 (Dispute Resolution), Section 20.3 (Effect of Termination), Section 20.4 (Survival), and Section 23 (Severability and Entire Agreement).
21. Health Data Disclaimer
21.1 Not Designed for Health Data
The Platform is not designed, intended, or authorized to store, process, or transmit Protected Health Information ("PHI") as defined by the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") or equivalent health privacy regulations in other jurisdictions. The Platform does not comply with HIPAA and is not a HIPAA-compliant service.
21.2 Prohibited Health Data Uses
You agree not to use the Platform, including any Builder site, the AI assistant, e-commerce features, or any other Platform functionality, to collect, store, process, or transmit:
- Protected Health Information (PHI)
- Electronic health records (EHR)
- Medical diagnoses, treatment plans, or prescription information
- Health insurance information
- Any other data subject to HIPAA or equivalent health privacy regulations
21.3 No Business Associate Relationship
Use of the Platform does not create a Business Associate relationship between you and Lantanios as defined by HIPAA. Lantanios does not enter into Business Associate Agreements.
21.4 Your Responsibility
If you are a healthcare provider, health plan, healthcare clearinghouse, or other Covered Entity under HIPAA (or a Business Associate of a Covered Entity), you are solely responsible for ensuring that your use of the Platform complies with applicable health privacy laws. Lantanios disclaims all liability for any violation of HIPAA or other health privacy regulations resulting from your use of the Platform.
22. Modifications to Terms
22.1 Right to Modify
Lantanios may modify these Terms at any time. A change never applies retroactively: it does not alter the price of a billing period you have already paid for, and Section 19.10 governs how a change to the dispute resolution terms applies to claims already raised.
22.2 Notice of Material Changes
For a material change, we will do at least one of the following: email the address associated with your account, show a prominent notice on the Platform, or ask you to review and accept the updated Terms when you next sign in. A change takes effect on the date stated in the notice, or when it is posted if no date is stated. Changes to prices, plans, and fees are governed by Sections 5.1 and 5.2, including the email notice to existing subscribers in Section 5.1.
22.3 Acceptance of Changes
We may require you to accept the updated Terms before you continue to use the Platform, and we keep a record of the version you accepted. Your continued use of the Platform after a change takes effect also constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account as described in Section 20.1.
22.4 Non-Material Changes
For non-material changes (such as typographical corrections, formatting changes, or clarifications that do not alter the meaning of any provision), we may update these Terms without notice.
23. Severability and Entire Agreement
23.1 Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
23.2 Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Lantanios regarding your use of the Platform. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Lantanios regarding the Platform.
23.3 Waiver
The failure of Lantanios to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Lantanios.
23.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Lantanios. Lantanios may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, or to any affiliate, without your consent. Any attempted assignment in violation of this section is void.
23.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Nothing in these Terms is intended to confer any rights or remedies on any person other than the parties to these Terms.
23.6 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
23.7 Force Majeure
Lantanios shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, power outages, internet or telecommunications failures, cyberattacks, denial-of-service attacks, or failures, outages, or restrictions of third-party service providers, including payment processors, registrars, hosting providers, and AI providers.
23.8 Electronic Communications and Notices
You consent to receive agreements, notices, disclosures, and other communications from us electronically, and agree that they satisfy any requirement that they be in writing. A notice we send to the email address associated with your account is effective when sent, whether or not you read it, so keep that address current. Legal notices to Lantanios must be sent to [email protected].
23.9 Relationship of the Parties
You and Lantanios are independent contractors. These Terms do not create a partnership, joint venture, employment, franchise, fiduciary, or agency relationship, and neither party may bind the other.
